Item 7.01 Regulation FD Disclosure.
On September 28, 2026, PCB Bancorp (the “Company”) issued a press release announcing the approval of a share repurchase program, as described in greater detail in Item 8.01 of this Current Report on Form 8-K. A copy of this press release is furnished as Exhibit 99.1 hereto. The information furnished pursuant to Item 7.01 and Exhibit 99.1 of this Current Report on Form 8-K shall not be deemed to be filed for purposes of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference into any registration statement or other document pursuant to the Securities Act of 1933, as amended, or the Exchange Act, except as expressly stated by specific reference in such filing.
Item 8.01 Other Events.
On September 23, 2026, the Board of Directors of the Company approved a share repurchase program authorizing the Company to repurchase up to 700,000 shares of its common stock. Under the share repurchase program, the Company may purchase shares of its common stock through various means such as open market transactions, including block purchases, and privately negotiated transactions. The timing, manner, price and amount of any repurchases will be determined at the Company’s discretion. Factors include, but are not limited to, stock price, trading volume and general market conditions, along with the Company’s general business conditions. The repurchase program is authorized through September 22, 2027, although it may be modified, discontinued, or suspended at any time without prior notice. The repurchase program does not obligate the Company to purchase any specific number of shares of its common stock.
As part of the share repurchase program, the Company intends to enter into a trading plan adopted in accordance with Rule 10b5-1 of the Exchange Act. The 10b5-1 trading plan would permit common stock to be repurchased at a time that the Company might otherwise be precluded from doing so under insider trading laws or self-imposed trading restrictions. The 10b5-1 trading plan will be administered by an independent broker and will be subject to price, market volume and timing restrictions.
