Item 8.01. Other Events.
On November 5, 2014, the Board of Directors of National Bank Holdings Corporation (NBHC or the Company) approved a cash dividend to shareholders. The quarterly cash dividend of five cents ($0.05) per share of common stock will be payable on December 15, 2014 to shareholders of record at the close of business on November 27, 2014.

GREENWOOD VILLAGE, Colo., - November 5, 2014 - National Bank Holdings Corporation (NYSE: NBHC) announced today that the Board of Directors approved a cash dividend to shareholders. The quarterly cash dividend of five cents ($0.05) per share of common stock will be payable on December 15, 2014 to shareholders of record at the close of business on November 27, 2014.
