Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 25, 2026, the Board of Directors (the “Board”) of Marwynn Holdings, Inc. (the “Company”) approved and adopted the Third Amended and Restated Bylaws of the Company (the “Third A&R Bylaws”), effective immediately. The Third A&R Bylaws amend and restate the Company’s Second Amended and Restated Bylaws in its entirety to, among other things, conform certain provisions to the Nevada Revised Statutes, including provisions relating to record dates, notice of stockholder meetings, and stockholder voting.
The foregoing description of the Third A&R Bylaws does not purport to be complete and is qualified in its entirety by reference to the full text of the Third A&R Bylaws, a copy of which is filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
