(b) On January 13, 2025, Director John J. Mulligan notified McDonald’s Corporation (the “Company”) of his decision to retire from the Company’s Board of Directors, effective as of the date of the Company’s 2025 Annual Shareholders’ Meeting. The retirement is not because of a disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
