Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 10, 2026, Michael J. Whitehead, Executive Vice President, President of Americas Welding, notified Lincoln Electric Holdings, Inc. (the “Company”) of his decision to resign from the Company, effective August 28, 2026, to pursue other business opportunities outside of the Company. Mr. Whitehead’s resignation did not result from any disagreement with the Company, its Board of Directors or management regarding the Company’s operations, policies, or practices.

In the interim, Americas Welding will be jointly led by Gary Konarska, Vice President, Global Product Strategy, and Albert Castillo, Vice President, Americas Welding, Sales & LATAM Operations, until a successor is named. Mr. Konarska and Mr. Castillo are both seasoned leaders with the Company and will continue to advance the Company’s RISE strategic priorities and maintain a customer-first approach.
