Item 7.01. Regulation FD Disclosure.

On September 15, 2026, Jazz Pharmaceuticals plc, an Irish public limited company (the “Company”) issued a press release announcing the completion of the acquisition of Actio Biosciences, Inc., a Delaware corporation (“Actio”). Following the acquisition, Actio became a wholly-owned subsidiary of the Company. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
