Item 8.01 Other Events.

 

On June 9, 2026, Forward Industries, Inc. (“Forward Industries”) issued a press release confirming that it made an indicative, non-binding proposal to Brera Holdings PLC (the “Company”) on June 1, 2026 to acquire the entire issued and to be issued share capital of the Company in an all-stock transaction. There can be no certainty that any offer will be made for the Company and Forward Industries will not comment on the terms of a potential transaction outside of any subsequent public announcement. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
