Item 8.01 Other Events.

 

The Company will hold its 2016 Annual Meeting of Stockholders (the “Annual Meeting”) on Wednesday, June 15, 2016 at 9:30 a.m. EDT at the offices of Kaye Scholer LLP, 250 West 55th Street, New York, New York 10019. The purposes of the Annual Meeting are: (1) to elect 5 directors; (2) to ratify the appointment of Grant Thornton LLP as the Company’s independent registered public accountants for the Company’s fiscal year ending December 31, 2016; and (3) to transact any other business that properly comes before the meeting, or any adjournment or postponement thereof. The record date for the Annual Meeting will be May 18, 2016. If you hold shares of the Company’s common stock at the close of business on that date, you are entitled to notice of and to vote at the Annual Meeting.
