Item 8.01 Other Events.

On January 29, 2015, the Company announced that the Board of Directors of the Company declared a cash dividend on the Company's common stock of $0.06 per share for the quarter ended December 31, 2014. The dividend will be payable to stockholders of record as of February 13, 2015 and is expected to be paid on February 20, 2015.

A copy of the press release dated January 29, 2015, giving details associated with the dividend, is attached as Exhibit 99.1 to this report.

(the �Company�)(Nasdaq: FCLF) announced the approval by its Board of Directors of a cash dividend on its outstanding common stock of $0.06 per share for the quarter ended December 31, 2014. �The dividend will be payable to stockholders of record as of February 13, 2015 and is expected to be paid on February 20, 2015. �The Company has 7,007,283 shares of common stock outstanding.
