Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 12, 2026, the Board of Directors (“Board”) of the Federal Agricultural Mortgage Corporation (“Farmer Mac”) appointed Robert J. Maines (“Mr. Maines”) to serve as Farmer Mac’s Executive Vice President – Chief Operations Officer, effective August 17, 2026 (the “Effective Date”).
Mr. Maines, age 58, has served as Farmer Mac’s Senior Vice President – Operations since March 2021, after having served as Vice President – Enterprise Risk Officer since joining Farmer Mac in December, 2018. Mr. Maines has over 30 years of experience in financial services in a variety of executive positions. Mr. Maines graduated from the University of Delaware with a Bachelor of Science degree in Economics.
There are no arrangements or understandings between Mr. Maines and any other persons pursuant to which Mr. Maines was appointed as the Chief Operations Officer of Farmer Mac, nor are there any family relationships between Mr. Maines and any of Farmer Mac’s directors or executive officers. There are no transactions in which Mr. Maines has an interest requiring disclosure under Item 404(a) of Regulation S-K.
In connection with Mr. Maines appointment as Farmer Mac’s Executive Vice President – Chief Operations Officer, the Board approved an increase in his annual salary to $440,000, as of the Effective Date. Mr. Maines will be considered for grants of equity-based, long-term incentive compensation in 2027 at the same time that those grants are considered for Farmer Mac’s other executive officers. The target value of that award shall be not less than $225,000. Mr. Maines will be eligible to participate in Farmer Mac’s amended and restated executive severance plan.
Item 7.01 Regulation FD Disclosure.
On August 13, 2026, Farmer Mac issued a press release to announce the appointment of Nader Pasdar as its Executive Vice President – Chief Business Officer starting August 17, 2026. A copy of the press release is attached to this report as Exhibit 99. All references to www.farmermac.com in Exhibit 99 are inactive textual references only, and the information contained on Farmer Mac’s website is not incorporated by reference into this report.
