Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 10, 2024, the Board of Directors (the “Board”) of Expedia Group, Inc. (the “Company”) and the Company’s Vice Chairman and Board member, Mr. Peter Kern, agreed, given the speed and success of the Company’s recent management transition, that Mr. Kern’s service as Vice Chairman would end effective as of that date. Also effective as of September 10, 2024, Mr. Kern resigned as a member of the Board and the Board eliminated the Board seat previously held by Mr. Kern, thereby decreasing the size of the Board from thirteen directors to twelve directors.
