Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 10, 2025, David P. Berg notified European Wax Center, Inc. (the “Company”) that he would be resigning from the Company’s Board of Directors (“the Board”), effective immediately. The resignation of Mr. Berg was not as a result of any disagreement with the Company. Following Mr. Berg’s resignation, the Board reduced the size of the Board to seven directors.
