On September 17, 2022, Columbia Banking System, Inc. (“Columbia”) and its wholly owned subsidiary Columbia State Bank, and Umpqua Holdings Corporation (“Umpqua”) and its wholly owned subsidiary Umpqua Bank (collectively, the “Parties”) entered into a Letter of Agreement (the “LOA”) with the Department of Justice, Antitrust Division (the “DOJ”) in connection with the proposed merger between Columbia and Umpqua (the “Transaction”). Pursuant to the LOA, as a condition to obtaining regulatory approvals necessary to complete the Transaction, the Parties will be required to divest ten Columbia State Bank branches located in Colusa and Glenn counties in California; Lincoln, Malheur and Tillamook counties in Oregon; and Klickitat county in Washington (the “Divestiture Branches”). A divestiture statement identifying the Divestiture Branches and other information is available on the website of each party. In the LOA, the DOJ agreed that it would advise the Federal Reserve and the FDIC that the DOJ is not adverse to approval of the Transaction if the divestitures are made consistent with the terms of the LOA.
Completion of the Transaction remains subject to receipt of required regulatory approvals and other customary closing conditions set forth in the merger agreement relating to the Transaction.
