Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Directors; Compensatory Arrangements of Certain Officers.

 

On April 6, 2026, Lisa-Marie Iannitelli, a director and the Executive Vice President of Investor Relations of Awaysis Capital, Inc. (the “Company”), resigned as a director of the Company.

 

Ms. Iannitelli stated that her decision to resign as a director resulted from her concerns about the Company’s governance processes, execution discipline, and delays surrounding critical regulatory filings.

 

Ms. Iannitelli subsequently informed the Company that she also intended to resign from her position as Executive Vice President of Investor Relations of the Company at such time.

 

A copy of the written correspondence from Ms. Iannitelli concerning the circumstances surrounding her resignation is filed hereto as Exhibit 99.1 to this Current Report on Form 8-K, and is incorporated herein by reference.
