Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On August 17, 2026 the Board of Directors of Avista Corporation (Avista Corp. or the Company) amended Article III, Section 2 of the Company's Bylaws to increase the age at which a director can be elected or re-elected from 72 to 75 years.

 

A complete copy of the Bylaws of Avista Corp., as amended on August 17, 2026, is filed as Exhibit 3.2 to this Current Report, which is incorporated herein by reference.
