Item 8.01 Other Events
On August 7, 2026, AMETEK, Inc. (the “Company”) increased the maximum aggregate face or principal amount of short-term, unsecured commercial paper notes (the “Notes”) that may be outstanding under its commercial paper program (the “Program”) from $2.3 billion to $3.5 billion. All other material terms of the Program remain unchanged. The Company expects the Program to serve as a flexible source of funding for various purposes, including acquisitions. The Company's revolving credit facility is expected to continue to serve as a liquidity backstop for the repayment of Notes outstanding under the Program, such that indebtedness of the Company outstanding under both the revolving credit facility and the Program should not exceed $3.5 billion at any time.
One or more commercial paper dealers will each act as a dealer under the Program (each, a “Dealer”) pursuant to the terms and conditions of the respective commercial paper dealer agreement entered into between the Company and each Dealer.
The Notes have not been and will not be registered under the Securities Act or any state securities laws and may be offered or sold in the United States only in compliance with an applicable exemption from registration requirements of the Securities Act and applicable state laws.
