Description of Registrant’s Securities to be Registered

 

The securities to be registered hereunder are common shares of beneficial interest, no par value (the “Shares”), of the WEBs Defined Volatility XLE ETF, WEBs Defined Volatility XLB ETF, WEBs Defined Volatility XLI ETF, WEBs Defined Volatility XLY ETF, WEBs Defined Volatility XLP ETF, WEBs Defined Volatility XLV ETF, WEBs Defined Volatility XLF ETF, WEBs Defined Volatility XLK ETF, WEBs Defined Volatility XLC ETF, WEBs Defined Volatility XLU ETF and WEBs Defined Volatility XLRE ETF (each, a “Fund”), each a series of the WEBs ETF Trust (the “Registrant”). The purpose of the amendment is to list “The Nasdaq Stock Market LLC” next to each Fund individually, under “Name of Each Exchange on Which Each Class is to be so Registered.”

 

An application for listing of the Shares of each Fund has been filed with and approved by The Nasdaq Stock Market LLC. A description of the Shares is contained in the Funds’ prospectus, which is a part of Post-Effective Amendment No. 82 to the Registration Statement on Form N-1A (Registration Nos. 333-215607 and 811-23227), filed with the Securities and Exchange Commission on or about June 10, 2025. Such description is incorporated by reference herein.
