QMMM Holdings Ltd. (the “Registrant”) hereby incorporates by reference the description of its Ordinary Shares, par value $0.0001 per share, contained under the heading “Description of Share Capital” in the prospectus included in the Registrant’s Registration Statement on Form F-1 (File No. 333-274887), as originally filed with the Securities and Exchange Commission (the “Commission”) on October 6, 2023, and as subsequently amended, including any form of prospectus contained therein pursuant to Rule 424(b) under the Securities Act of 1933, (the “Registration Statement”). In addition, all of the above-referenced descriptions included in any prospectus relating to the Registration Statement subsequently filed by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, shall be deemed to be incorporated by reference herein.
