Item 1. Description of Registrant’s Securities to be Registered.

 

The securities to be registered hereby are the (i) ordinary shares, par value €0.02 per share, and (ii) warrants to purchase ordinary shares of Pasqal Holding SA (the “Registrant”). The description of the ordinary shares and warrants set forth under the heading “Description of New Pasqal’s Securities” in the Registrant’s prospectus forming part of its Registration Statement on Form F-4 (File No. 333-296239), initially filed with the Securities and Exchange Commission on May 26, 2026, as thereafter amended and supplemented from time to time (the “Registration Statement”), including any form of prospectus contained therein pursuant to Rule 424(b) under the Securities Act of 1933, as amended, to which this Form 8-A relates is incorporated by reference herein. Any form of prospectus or prospectus supplement to the Registration Statement that includes such descriptions and that is subsequently filed is hereby also incorporated by reference herein.

 

The ordinary shares and the warrants to be registered hereunder have been approved for listing on The Nasdaq Stock Market LLC under the symbols “PSQL” and “PSQLW”, respectively.
