Item 1. Description of Registrant’s Securities to be Registered

 

The securities to be registered hereby are the Class A ordinary shares, par value $0.0000000264856557377049 per share, of The Generation Essentials Group (the “Class A Ordinary Shares”) and warrants to purchase Class A Ordinary Shares (the “Warrants”). The description of the Class A Ordinary Shares and Warrants contained under the heading “Description of Securities of The Generation Essentials Group” in the proxy statement/prospectus forming a part of the Registration Statement on Form F-4, as originally filed with the Securities and Exchange Commission on April 11, 2025, as amended from time to time (Registration No. 333-286501) (the “Registration Statement”) to which this Form 8-A relates is incorporated herein by reference. Any form of prospectus or prospectus supplement to the Registration Statement that includes such descriptions and that are subsequently filed are hereby also incorporated by reference herein.

 

The Class A Ordinary Shares to be registered hereunder have been approved for listing on The New York Stock Exchange under the symbol “TGE”. The Warrants to be registered hereunder have been approved for listing on NYSE American LLC under the symbol “TGE WS”.
