Zuoan Fashion Limited Announces Resolutions Adopted at
2014 Annual General Meeting of Shareholders

Zuoan Fashion Limited, a Cayman Islands company (the Company), held its annual general meeting of shareholders (the Meeting) on December 22, 2014, at 2:00 p.m., local time, at Zuoan Fashion Limited Conference room, Building 1, Lane 618, Dingyuan Road, Songjiang District, Shanghai 201616, China.

At the Meeting, the Companys shareholders adopted the following resolutions approving:

1. The re-election of��Chaoshen Wang as a director of the Company;

2. The re-election of Tianzhen Hong as a director of the Company; and

3. The ratification of the appointment of GHP Horwath, P.C. as the Companys independent registered public accounting firm for the year ending December 31, 2014.
