EXPLANATORY NOTE

Prenetics Global Limited (the “Company”) hereby announces the appointment of Ms. Caroline Levy to its Board of Directors as an independent director, effective August 17, 2026. Ms. Levy will also serve as a member of the Audit Committee, Compensation Committee, and Nominating and Corporate Governance Committee, replacing Dr. Darshan Shah on each of those committees. Dr. Shah will continue to serve on the Board of Directors as an independent director. A copy of the press release announcing Ms. Levy's appointment is furnished as Exhibit 99.1 to this Report on Form 6-K (this "Report").
