EXPLANATORY NOTE

 

On April 17, 2026, Controladora Vuela Compañía de Aviación, S.A.B. de C.V. (NYSE: VLRS) issued a press release titled “Volaris amends its bylaws in accordance with the resolutions approved by the Extraordinary General Shareholders’ Meeting held on March 25, 2026.” A copy of this press release is attached to this Form 6-K as Exhibit 99.1 and the courtesy English translation of the amended and restated bylaws is attached to this Form 6-K as Exhibit 99.2.
