EXPLANATORY NOTE
This Registration Statement is filed by the Registrant pursuant to Section 8(b) of the Investment Company Act of 1940, as amended. However, shares of beneficial interest of the NVIT U.S. 130/30 Equity Fund, NVIT GS Emerging Markets Equity Insights Fund, NVIT GS International Equity Insights Fund, NVIT GS Large Cap Equity Fund, and NVIT GS Small Cap Equity Insights Fund (together, the “Funds”) are not being registered under the Securities Act of 1933, as amended (the “1933 Act”), because shares of the Funds will be issued solely in private placement transactions that do not involve any “public offering” within the meaning of Section 4(a)(2) of the 1933 Act. Only organizations or entities that are “accredited investors” within the meaning of Regulation D under the 1933 Act may make investments in the Funds. This Registration Statement is not an offer to sell, or a solicitation of an offer to buy, any shares of the Funds.
