This Schedule 14A relates solely to preliminary communications made prior to furnishing security holders of Apogee Therapeutics, Inc. (“Apogee” or the “Company”) with a proxy statement related to a proposed transaction in which Andor Merger Co. (“Merger Sub”), a Delaware corporation and wholly owned subsidiary of Andor LLC (“Parent”), a Delaware limited liability company and a wholly owned subsidiary of AbbVie Inc.
