Item 5.03 — Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 6, 2022, the Board of Directors (the “Board”) of Americold Realty Trust, Inc. (the “Company”) approved an amendment and restatement of the Company’s bylaws (as so amended and restated, the “Amended and Restated Bylaws”), effective as of such date, in order to, among other things:

•provide stockholders with a proxy access right permitting a stockholder, or a group of up to 20 stockholders, owning 3% or more of the Company’s outstanding common stock continuously for at least three years, to nominate, and have included in the Company’s proxy materials, director nominees constituting up to 20% of the Board, provided that the stockholder(s) and the proxy access nominee(s) satisfy the requirements and the procedures set forth in the Amended and Restated Bylaws; and

•update the procedural requirements for director nominations made pursuant to Rule 14a-19 under the Securities Exchange Act of 1934, as amended.
