The description of the securities to be registered hereunder is contained in “Description of Einride’s Share Capital” and “Description of American Depositary Shares” in the proxy statement/prospectus forming a part of the Registration Statement on Form F-4 (Registration No. 333-295212), initially filed with the Securities and Exchange Commission on April 21, 2026, as amended from time to time (the “Registration Statement”), to which this Form 8-A relates is incorporated herein by reference. Any form of prospectus or prospectus supplement to the Registration Statement that includes such descriptions and that are filed subsequently to the Registration Statement are hereby also incorporated by reference herein.

 

The American Depositary Shares and the Warrants to be registered hereunder are expected to be listed on The Nasdaq Stock Market LLC (“Nasdaq”) under the symbols “ENRD” and “ENRDW,” respectively.
