EXPLANATORY NOTE

 

The sole purpose of this filing is to delay the effectiveness of Post-Effective Amendment No. 141 (the “Amendment”) to the Registrant’s Registration Statement (filed on March 3, 2026) with respect to 10 of its proposed series (Leverage Shares 4X Long IREN Daily ETF, Leverage Shares 4X Long QBTS Daily ETF, Leverage Shares 4X Long TSM Daily ETF, Leverage Shares 4X Long OKLO Daily ETF, Leverage Shares 4X Long SNDK Daily ETF, Leverage Shares 4X Long ASTS Daily ETF, Leverage Shares 4X Long LITE Daily ETF, Leverage Shares 4X Long WDC Daily ETF, Leverage Shares 4X Long MU Daily ETF, and Leverage Shares 4X Long SMCI Daily ETF) until June 14, 2026. Parts A and B of the Amendment are incorporated by reference herein. This amendment also incorporates by reference the information contained in Part C of Post-Effective Amendment No. 206 to the Registrant’s Registration Statement, which was filed on May 12, 2026.
