The sole purpose of this filing is to further delay the effectiveness of the Trust’s Post-Effective Amendment to its Registration Statement that was filed with effect on September 16, 2024, accession number 0001829126-24-006285 (Amendment No. 118) to the Trust’s Registration Statement as it relates only to the Simplify Tactical US ETF. Simplify China A Shares PLUS Income ETF, that was a part of Amendment No. 118 is not included in this delaying amendment. Parts A, B and C of the Registrant’s Post-Effective Amendment No. 118 under the Securities Act of 1933, as amended and Amendment No. 119 under the Investment Company Act of 1940, as amended, filed on with effect on September 16, 2024, as it relates only to the Simplify Tactical US ETF, are incorporated by reference herein.
