EXPLANATORY NOTE

This Post-Effective Amendment No. 64 to the Registration Statement of PIMCO Equity Series (the “Trust” or the “Registrant”) incorporates by reference the prospectus and Statement of Additional Information that are contained in the Trust’s Post-Effective Amendment No. 45, which was filed with the Securities and Exchange Commission on January 27, 2017. This Post-Effective Amendment No. 64 is filed solely for the purpose of designating December 22, 2017 as the new effective date of Post-Effective Amendment No. 45, the effectiveness of which was previously delayed pursuant to Post-Effective Amendment No. 47 to the Trust’s Registration Statement, as filed March 29, 2017, Post-Effective Amendment No. 49 to the Trust’s Registration Statement, as filed April 27, 2017, Post-Effective Amendment No. 51 to the Trust’s Registration Statement, as filed May 25, 2017, Post-Effective Amendment No. 52 to the Trust’s Registration Statement, as filed June 7, 2017, Post-Effective Amendment No. 56 to the Trust’s Registration Statement, as filed July 6, 2017, Post-Effective Amendment No. 57 to the Trust’s Registration Statement, as filed August 3, 2017, Post-Effective Amendment No. 59 to the Trust’s Registration Statement, as filed August 31, 2017, Post-Effective Amendment No. 60 to the Trust’s Registration Statement, as filed September 28, 2017, and Post-Effective Amendment No. 61 to the Trust’s Registration Statement, as filed October 26, 2017.
