EXPLANATORY NOTE
Pursuant to Rule 485(b)(1)(iii) of the Securities Act of 1933, as amended, this Post-Effective Amendment No. 6 to the Registrant Statement,
relating only to the Grayscale Bitcoin Miners ETF (the “Fund”), a series of the Registrant, is being filed for the sole purpose of designating January 27, 2025 as the new date upon which Post-Effective Amendment No. 1, as filed on November
8, 2024 (Accession No. 0001680359-24-000400) (“PEA 1”), shall become effective. PEA 1 was most recently delayed until January 24, 2025 by Post-Effective Amendment No. 5.
