Explanatory Note:   The sole purpose of this filing is to delay, until September 28, 2026, the effectiveness of Post‑Effective Amendment No. 66 to the Registration Statement on Form N‑1A of FMI Funds, Inc. (the “Registrant”), filed on June 16, 2026 pursuant to Rule 485(a)(2) under the Securities Act of 1933 (the “Securities Act”). Post‑Effective Amendment No. 66 relates solely to an amendment to add a new series of the Registrant, the FMI Global Equity ETF. The effectiveness of Post‑Effective Amendment No. 66 was previously delayed until September 22, 2026 by Post‑Effective Amendment No. 67. This Amendment, Post‑Effective Amendment No. 68, is filed solely pursuant to Rule 485(b)(1)(iii) under the Securities Act to designate a new effective date of September 28, 2026 for Post‑Effective Amendment No. 66.
 
Parts A, B and C of Post‑Effective Amendment No. 66, filed on June 16, 2026, are incorporated herein by reference. None of this Amendment, Post‑Effective Amendment No. 67 or Post‑Effective Amendment No. 66 was filed to update or amend the prospectus or statement of additional information for any other series or class of the Registrant.
