* Explanatory Note: Pursuant to the Agreement and Plan of Merger dated June 22, 2026, by and among Manulife Private Credit Fund (the “Company”), John Hancock Comvest Private Income Fund (“JHCPIF”), John Hancock Comvest Merger Sub LLC, a wholly-owned direct Consolidated Subsidiary of JHCPIF (“Merger Sub”), and for certain limited purposes, Comvest Credit Managers, LLC and Manulife Investment Management Private Markets (US) LLC, the Merger Sub merged with and into the Company, the Company merged with and into JHCPIF, with JHCPIF as the surviving company, at which time the separate corporate existence of the Company ended. Pursuant to the requirements of the Securities Exchange Act of 1934, JHCPIF, as successor by merger to the Company, has caused this notification to be signed on its behalf by the undersigned duly authorized person.
