XLCS Partners advises United Gasket on sale to All-State Industries

("United Gasket") on its acquisition by All-State Industries, Inc. ("All-State"), a portfolio company of Blue Sage Capital.

Founded in 1940 and headquartered in Cicero, Illinois, United Gasket is a leading manufacturer of custom non-metallic components, including adhesive-backed gaskets, felts, and other flexible parts. Alongside its subsidiary, Gaskoa, Inc., United Gasket serves a diverse range of industries, including electronics, rail, non-engine auto, HVAC, pumps, and lighting.

Headquartered in Des Moines, Iowa, All-State was founded in 1974 and is a leading provider of non-metallic components for OEMs across diverse end markets. The company specializes in solution-oriented products for sealing, acoustics, thermal management, motion control, and impact absorption applications.

This transaction marks the fourth acquisition All-State has completed since partnering with Austin, Texas-based Blue Sage Capital in 2019. XLCS acted as the exclusive M&A advisor to United Gasket, and the transaction was led by Anthony Contaldo, Partner, and Eric Schoendorf, Vice President. The transaction was completed on December 31, 2024.
