NOTICE OF GENERAL MEETING

A General Meeting of Mothercare plc will be held at the Company’s head office at Cherry Tree Road, Watford, Hertfordshire, WD24 6SH on Friday 29 March 2019 at 10.00 am.

The Company has today published a circular containing the full Notice of General Meeting on its website, www.mothercareplc.com.

The resolutions to be proposed as ordinary resolutions at the General Meeting are:

1. to approve the New Remuneration Policy as set out in Part III of the circular; and
2. to approve the establishment of a Long-Term Incentive Plan as set out in Part II of the circular.

In accordance with LR 9.6.1R and LR 9.6.3R a copy of the Notice of General Meeting has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/nsm
