Business Updates
- Eon Discovery Inc. (100% owned): On
August 26, 2026 , the Company announced completion of an Exploration Target Geological Report for the Treasure Canyon Project inPlumas County, California , prepared byMartin L. Gallon ,P.Geo ., CPG, an independent "qualified person" as defined in Subpart 1300 of SEC Regulation S-K ("S-K 1300") and Canadian National Instrument 43-101, with an effective date ofAugust 20, 2026 . Treasure Canyon is an exploration-stage property. The Company has not established any mineral resources or mineral reserves on the property, and the exploration targets described in the report are conceptual in nature: there has been insufficient exploration to estimate a mineral resource, and it is uncertain whether further exploration will result in the estimation of a mineral resource. The project covers approximately 1,150 acres of lode mining claims and includes a historical, currently collapsed tunnel reported to reach a mineralized vein; historical workings are not evidence of the existence of a mineral resource or mineral reserve. The report recommends an initial surface diamond drill program of 12 holes totaling approximately 5,000 feet, which is subject to permitting and financing. A Plan of Operations was submitted to the U.S. Forest Service in the first quarter of 2026 and remains under review. OnOctober 8, 2026 , Eon Discovery hosted an on-site Plan of Operations site meeting at Treasure Canyon in thePlumas National Forest with the agencies responsible for permitting. Eon Discovery was represented by DirectorAndrew Osichnuk andMr. Gallon . Participating agencies included the U.S. Forest Service (meeting host, with an interdisciplinary team covering botany, biology, archaeology, hydrology, and abandoned mine lands), the USFS Region 5 Abandoned Mine Lands Program, the Central Valley Regional Water Quality Control Board, and the Plumas County Planning Department. The agencies' review covers forest resources, botany, biology, cultural heritage, hydrology, water quality, and county land use. Participation in the site meeting does not indicate that any permit will be granted, and the Company cannot predict the timing or outcome of the permitting process. Any permits received would allow Eon Discovery to conduct the recommended exploration drilling; they would not, by themselves, allow the project to advance to development, which under S-K 1300 would require, among other things, the establishment of mineral reserves.
"The site meeting was a constructive step in the Plan of Operations review process," said
- Terramer Inc. (90% owned): Developer of TERBO-1000, a patent-pending, hemp-based bioplastic designed to be fully compostable and free of microplastics, developed with Company-owned intellectual property and through a research collaboration at Penn State University. TERBO-1000 has not yet received ASTM D6400 or EN 13432 compostability certification, and its compostability and microplastic-free characteristics have not yet been certified by an independent third party. Terramer has received non-binding letters of intent and initial purchase orders from commercial brands; the letters of intent do not obligate the counterparties to purchase product, and Terramer does not currently have commercial-scale manufacturing capacity. The next step is to establish a leased industrial facility with two compounding and extrusion lines and a phase-one nameplate capacity of 8,800 tons per year, and to pursue ASTM D6400 and EN 13432 certification. Based on the Company's current plans and assumptions, commissioning is targeted for late 2027 with first commercial shipments targeted for early 2028. These targets depend on, among other things, obtaining additional financing, securing a facility, procuring equipment, and achieving certification, and actual timing may differ materially. Potential applications include packaging, tableware, automotive parts, and construction composites.
- Armorgenix Company (90% owned): Holds exclusive rights to manufacture and distribute in
North America certain formulas licensed from Kreoma Pharm. According to the licensor, the formulas have approximately 30 years of commercial history inEurope and are the subject of published scientific literature. The licensed products have not been evaluated or approved by the U.S. Food and Drug Administration, and the Company does not claim that they diagnose, treat, cure or prevent any disease. The formulation work is complete. Remaining steps before commercial launch include raw material procurement, cGMP encapsulation by a contract manufacturer, packaging, third-party testing, and development of a direct-to-consumer marketing campaign. A first production run of 250,000 units is currently planned forFebruary 2027 , with marketplace and retail distribution to follow, subject to financing, supplier availability and compliance with applicable regulatory requirements. - Lucky Hand Mining Game LLC (100% owned): Acquired effective
July 1, 2026 . Lucky Hand is developing a gold-rush-themed play-to-earn game built as a TelegramMini App , which management estimates is approximately 90% complete. The product is designed to combine resource extraction, upgrade card mechanics, infrastructure development, and progression from independent miner to large-scale operations. Future development plans include potential integration with The Open Network (TON), player-versus-player modes, seasonal content, and a possible transition from Web2 gameplay to a Web3 platform that could include marketplaces and non-fungible token (NFT) features. The Company has not determined whether or how any such features, or any in-game rewards or digital assets, will be implemented; any such features would be subject to applicable securities, commodities, anti-money-laundering, gaming and consumer-protection laws in the jurisdictions in which the game is offered. Remaining work includes completing the application, adding CRM, referral, and anti-fraud systems, and user-acquisition activities. Public launch is currently targeted for the second quarter of calendar 2027. The game has not yet launched publicly.
"Everything in this letter runs through the same gate," said
Cautionary Note Regarding Forward-Looking Statements
This letter contains "forward-looking statements." All statements other than statements of historical fact are forward-looking statements, including statements regarding: the completion, timing and results of the audits of the Company's fiscal 2025 and fiscal 2026 financial statements; the Company's planned registration statement on Form 10; the timing and outcome of permitting for the Treasure Canyon Project and any future exploration or drilling program; the conceptual exploration targets described in the Exploration Target Geological Report; Terramer's planned facility, production capacity, certifications, commissioning and shipment timing; Armorgenix's planned production run and distribution; Lucky Hand's development, launch timing and Web3 plans; and the Company's priorities, milestones and strategy. Words such as "anticipates," "believes," "could," "estimates," "expects," "intends," "may," "plans," "potential," "projects," "targets," "will," "would" and similar expressions are intended to identify forward-looking statements, although not all forward-looking statements contain these words.
Forward-looking statements are based on management's current expectations and assumptions and are subject to significant risks and uncertainties, many of which are beyond the Company's control, that could cause actual results to differ materially from those expressed or implied. These include, among others: the Company's need for substantial additional capital and the availability and terms of any financing; the possibility that the audits identify adjustments to the Company's previously reported unaudited financial statements; the possibility that the Company does not file a registration statement on Form 10 or that it does not become effective; the inherent uncertainty of mineral exploration, including the risk that no mineral resource or mineral reserve is ever identified at Treasure Canyon; delays in, conditions on, or denial of required permits; the early stage of each of the Company's businesses and their limited operating history; the ability to secure facilities, equipment, suppliers, certifications, customers and users; the ability to convert non-binding letters of intent into binding orders; regulatory requirements applicable to consumer wellness products, digital assets and online games; competition; reliance on key personnel, licensors, contract manufacturers and other third parties; and the fact that the Company's common stock is quoted on the OTC Markets, is thinly traded and may be subject to the SEC's "penny stock" rules. Forward-looking statements speak only as of the date of this letter. Except as required by law, the Company undertakes no obligation to update or revise any forward-looking statement, whether as a result of new information, future events or otherwise. Investors are cautioned not to place undue reliance on forward-looking statements. Because the Company is not currently subject to the reporting requirements of Section 13(a) or 15(d) of the Exchange Act, the statutory safe harbor for forward-looking statements in Section 27A of the Securities Act of 1933, as amended, and Section 21E of the Exchange Act is not available to the Company, and for so long as the Company's common stock constitutes a "penny stock," the safe harbor would not be available even after the Company becomes subject to those reporting requirements.
Cautionary Note Regarding Mineral Property Disclosure
The Company is an exploration-stage issuer with respect to the Treasure Canyon Project and has not established any mineral resources or mineral reserves as those terms are defined in S-K 1300. An exploration target is a statement of the potential quantity and grade of mineralization that is conceptual in nature. There has been insufficient exploration to estimate a mineral resource, and it is uncertain whether further exploration will result in the estimation of a mineral resource. Investors should not assume that any part of an exploration target will ever be converted into a mineral resource or mineral reserve. The scientific and technical information in this letter relating to the Treasure Canyon Project has been reviewed and approved by Martin L. Gallon, P.Geo., CPG, an independent qualified person as defined in S-K 1300.
No Offer or Solicitation
This letter is for informational purposes only and does not constitute an offer to sell or the solicitation of an offer to buy any securities of the Company, and there shall not be any sale of securities in any state or jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of that jurisdiction.
Public Disclosure
The Company discloses material information to the public through press releases distributed by a widely disseminated news service and through reports and notices posted on the OTC Disclosure & News Service at www.otcmarkets.com. This letter is being made publicly available through those channels at the same time it is delivered to shareholders. The Company does not disclose material nonpublic information selectively, and inquiries directed to the contact below will be answered only with information that is already publicly available.
