WEBCO INDUSTRIES, INC. ANNOUNCES LAUNCH OF TENDER OFFER FOR COMMON STOCK

SAND SPRINGS, Okla., Sept. 30, 2026 /PRNewswire/ -- Webco Industries, Inc. (OTC: WEBC) ("Webco" or the "Company") today announced it has launched a tender offer to purchase up to 10,000 shares (the "Maximum Amount") of Webco's common stock, par value $0.01 per share (the "Shares"), owned by holders of the Shares as of the date of this offer (the "Offer"). The Company is offering to purchase the Shares at a purchase price of $330 per share. The Company's Board of Directors believes that the Offer provides its shareholders desiring an expedited manner of selling shares an opportunity to do so despite the history of illiquidity for the Company's stock and current significant spreads between market offers to purchase and sell. Shareholders possessing actual physical stock certificates or who hold their Shares directly in their own names on the books of the Company's transfer agent will be mailed copies of the Offer to Purchase and instructions from the Company's transfer agent, Computershare, Inc. Shareholders whose shares are held in street name by their broker will be contacted by their broker regarding the Offer process.

Upon the terms and subject to the conditions of the Offer, the Company will purchase and will pay for Shares up to the Maximum Amount, properly tendered and accepted by the Company on or prior to 11:59 p.m. Eastern Daylight Time, October 14, 2026, unless extended as provided in the Offer. Shares tendered may be withdrawn by the shareholder prior to that time only under the limited circumstances described in the Company's Tender Offer to Purchase.

If the Shares tendered by shareholders exceeds 10,000 shares, Shares will be first purchased from shareholders who own 99 or less Shares if all their Shares have been tendered, and the balance to be purchased will be allocated on a pro rata basis to the remainder of the tendering shareholders.
