Elmet Group to acquire ams OSRAM tungsten plant in Germany

The Elmet Group Co. (NASDAQ: ELMT) announced it has signed a definitive agreement to acquire the tungsten and molybdenum manufacturing operations of ams OSRAM in Schwabmünchen, Bavaria, Germany, according to a company press release dated Sept. 8, 2026.



The acquisition will be conducted through Elmet's newly formed German subsidiary, Elmet Technologies GmbH. The transaction is expected to close in the first quarter of 2027, subject to customary regulatory approvals and the completion of transition activities required to operate the Schwabmünchen facility on a standalone basis.



The Schwabmünchen site, which has been in operation since 1961, spans approximately 26,800 square meters and produces more than 3,500 products, including metal powders, rods, wire, electrodes, and machined components. The facility covers a fully integrated production value chain from powder formation through pressing, sintering, swaging, drawing, and finishing, and includes an on-site materials laboratory.



The transaction would establish Elmet's first manufacturing presence in the European Union for refractory metals. The company's Critical Materials Components Division currently operates U.S. facilities in Maine, Ohio, and Michigan.



Elmet stated it plans to retain the existing Schwabmünchen leadership and operating team and intends to invest in workforce, equipment, capacity, and quality systems at the site. The company also said it plans to expand materials produced at the site to include TZM and tungsten heavy alloy.



Under production agreements, Elmet Technologies GmbH will support ams OSRAM and a recent spinoff for products currently sourced from the site through the transition period. Existing external customers are expected to be served without interruption upon closing.



"We expect this acquisition to extend our vertically integrated tungsten and molybdenum platform into Europe, giving us a production base to serve customers there directly," said Peter V. Anania, CEO and Chairman of the Board at The Elmet Group Co.



Elmet said its target markets for the Schwabmünchen operation include defense, fusion research, semiconductor, medical, automotive, and general industrial applications.
