CXApp acquires Australian firm EngineRoom in June 2026 deal

CXApp Inc. (NASDAQ: CXAI) has completed its acquisition of Virtus Digital Marketing Pty Ltd, operating as Engine Room Applications ("EngineRoom"), through its wholly owned subsidiary CXAI Australia Pty Ltd. The transaction closed on June 3, 2026.

Under the Share Sale Deed, CXAI Australia acquired 100% of the issued and outstanding equity interests of EngineRoom.

According to a filing with the Securities and Exchange Commission, the company determined that the transaction does not meet the quantitative significance thresholds that would require separate historical financial statements for EngineRoom or pro forma financial information to be filed with regulators.

EngineRoom's financial results from the date of acquisition have been incorporated into CXApp's unaudited condensed consolidated financial statements for the quarter ended June 30, 2026, filed as part of the company's Quarterly Report on Form 10-Q.

The company stated that the determination regarding SEC significance thresholds relates solely to separate financial statement and pro forma filing requirements and does not affect the terms of the transaction, CXApp's ownership of EngineRoom, or the ongoing integration of EngineRoom into its operations.
