VenHub addresses going concern disclosure amid third-party scrutiny

VenHub Global, Inc. (NASDAQ: VHUB) issued a statement to stockholders addressing what it described as third-party publicity concerning its financial position, confirming that the information being circulated originates from its own annual report filed with the U.S. Securities and Exchange Commission.

In its Form 10-K for the fiscal year ended December 31, 2025, filed March 24, 2026, VenHub disclosed its revenue, net loss, balance sheet position, and substantial doubt about its ability to continue as a going concern without additional capital.

Chief Executive Officer Shahan Ohanessian said in a statement: "As a public company focused on growth, we view these law-firm publicity releases as meritless and distracting. We have disclosed our financial position transparently, and our focus remains on execution, financing our growth strategy, and building long-term stockholder value."

The company stated it is not aware of any investigation, enforcement action, or proceeding by the SEC or any other governmental authority related to its disclosures or business practices.

VenHub said it is actively pursuing financing and strategic options to support its operations, and that its business model requires additional capital to execute its growth strategy. The Las Vegas-based company designs and operates autonomous retail stores that function without on-site staff.
