TotalEnergies board backs Pouyanné renewal as chairman and CEO

TotalEnergies (NYSE: TTE) said its board of directors unanimously decided to propose the renewal of Patrick Pouyanné's mandate as chairman and chief executive officer at the company's shareholders' meeting in May 2027, following a strategic seminar held September 23 and 24, 2026.
The board also decided to propose the renewal of Jacques Aschenbroich as lead independent director, a position he has held since May 2023. Both proposals were made on the recommendation of the Governance and Ethics Committee. Pouyanné and Aschenbroich did not participate in deliberations concerning their respective renewals.
The board voted unanimously to maintain the combined chairman and chief executive officer structure, citing what it described as a balanced corporate governance framework that includes a lead independent director as a shareholder contact.
Aschenbroich said in a statement that since Pouyanné was appointed in December 2015, he had transformed the company financially, diversified oil and gas supply sources including LNG, and pursued an energy transition strategy. Aschenbroich also noted that nearly 98% of shareholders supported an amendment to statutory age limits for the chairman and CEO role at the May 29, 2026 shareholders' meeting.
The board also reviewed the company's strategic outlook centered on two pillars: Oil & Gas and Integrated Power. TotalEnergies said it plans to present its outlook to investors on September 28, 2026.
