Nakamoto Holdings Inc., a Bitcoin-focused holding company planning to merge with KindlyMD Inc. (NASDAQ: NAKA), appointed Amanda Fabiano as chief operating officer in a newly created position, the company announced.
Fabiano founded Second Gate Advisory, a digital asset advisory firm, and previously served as head of mining at Galaxy Digital and director of Bitcoin mining at Fidelity Investments. She currently sits on the board of TeraWulf Inc.
At Galaxy Digital, Fabiano helped establish the company's mining operation and team. At Fidelity Investments, she worked on institutional adoption of Bitcoin infrastructure solutions. Through Second Gate Advisory, she advised growth-stage companies and institutional investors on Bitcoin-related matters.
In her new role, Fabiano will oversee execution of Nakamoto's strategic roadmap and manage alignment across treasury, mergers and acquisitions, and regional operations for the company's portfolio of Bitcoin-focused businesses.
"We are thrilled to add Amanda to the Nakamoto team," said David Bailey, founder and CEO of Nakamoto. "I have known Amanda for years and have always admired her as one of the most experienced and respected operators in the Bitcoin industry."
Fabiano said she is "excited to join Nakamoto at such a pivotal time in its growth" and looks forward to supporting the company as it scales globally.
Nakamoto describes itself as a Bitcoin treasury company building a portfolio of Bitcoin-native companies. The company plans to create what it calls the first publicly traded conglomerate of Bitcoin companies by accumulating Bitcoin in its treasury and using those holdings to acquire and develop Bitcoin-focused businesses across finance, media and advisory sectors.
KindlyMD operates as a healthcare company providing primary care, pain management, behavioral health and alternative therapies. The company announced a merger agreement with Nakamoto Holdings in May 2025.
