Investing.com -- Mobileye shares are trading nearly 6% in the after-hours on Tuesday, after the company announced a $900 million acquisition of humanoid robotics startup Mentee Robotics.

The deal is expected to combine Mobileye’s AI technology and production capabilities with Mentee’s humanoid robot platform, positioning the company as a leader in both autonomous driving and humanoid robotics markets.

Under the terms of the agreement, Mobileye will pay approximately $612 million in cash and issue up to about 26.2 million shares of Mobileye Class A common stock, subject to adjustments. The transaction is expected to close in the first quarter of 2026.

Mentee Robotics, founded four years ago, has developed a cost-efficient humanoid platform designed for real-world deployment. The company’s approach enables robots to learn new skills from natural demonstrations and interact safely with humans and objects.

The acquisition will accelerate Mentee’s market entry, with first customer deployments expected in 2026 and commercial production targeted for 2028. Mentee will operate as an independent unit within Mobileye.

"Today marks a new chapter for robotics and automotive AI, and the beginning of Mobileye 3.0," said Prof. Amnon Shashua, President and CEO of Mobileye, who also serves as Chairman, Co-Founder and significant shareholder of Mentee. Shashua recused himself from Mobileye’s board consideration of the transaction.

The deal is expected to modestly increase Mobileye’s operating expenses in 2026 by a low-single-digit percentage.
