Harley-Davidson shares rise as HDFS transaction boosts Q3 earnings

Investing.com -- Harley-Davidson Inc (NYSE: HOG) shares climbed 2.2% after the motorcycle manufacturer reported third-quarter earnings that significantly exceeded analyst expectations, driven primarily by its financial services division transformation.
The iconic motorcycle maker posted adjusted earnings of $3.10 per share, substantially beating the analyst consensus of $1.58. Revenue reached $1.34 billion, surpassing estimates of $1.01 billion and representing a 17% increase YoY.
The strong performance was largely attributed to the completion of the HDFS (Harley-Davidson Financial Services) transaction with KKR and PIMCO, which transformed the unit into a capital-light, de-risked business model.
"Our Q3 results demonstrate the positive impact of the HDFS transaction and reinforce the strategic value HDFS brings to Harley-Davidson’s overall business model," said Artie Starrs, President and CEO. "While retail sales remain challenged, I’m truly energized by what I’ve experienced across the Company."
Despite the financial outperformance, Harley-Davidson’s global motorcycle retail sales declined 6% compared to the prior year, reflecting continued soft demand amid unfavorable consumer confidence and high interest rates. North America retail sales fell 5%, while international retail performance dropped 9%.
The company’s motorcycle segment (HDMC) saw revenue increase 23%, with global motorcycle shipments up 33% versus the prior year. However, HDMC operating income margin decreased to 5.0% from 6.3% a year ago.
CFO Jonathan Root highlighted that the HDFS transaction is expected to unlock approximately $1.2-$1.25 billion in discretionary cash by the end of Q1 2026. The company also announced a $200 million accelerated share repurchase agreement with Goldman Sachs as part of its previously announced plan to repurchase $1 billion in shares by the end of 2026.
Harley-Davidson continues to withhold its full-year financial outlook due to uncertain global tariff situations and macroeconomic conditions.
