Microsoft (MSFT) Said to Sign Nondisclosure Agreement in Yahoo! (YHOO) Talks

According to the NY Times Wednesday, by signing the pact, Microsoft (Nasdaq: MSFT) joins the ranks of Silver Lake, TPG Capital, and others in vying to take a better look at Yahoo!'s (Nasdaq: YHOO) financials.
Despite Yahoo! aiming for bidders to sign a "no crosstalk" agreement, sources suggest Microsoft held talks with potential partners anyway. In a potential deal, NYTimes said, Microsoft would put up billions in cash and likely backstop this with bank financing as well. This new development, where Microsoft is willing not to talk, might mean talks are advancing to final stages.
The combination might make the most sense of all possible outcomes: Microsoft's Bing search has been powering Yahoo! for a while, as Yahoo!'s sales force aims to draw better ad dollars to results.
Additionally, a potential integration with newly-acquired Skype might be in the works, and Microsoft looks to broaden beyond core offerings.
Microsoft shares are 1 percent lower Wednesday, while shares of Yahoo! are flat.
