Herbalife (HLF) CEO Johnson Receives 'Max Compensation' in FY12

Herbalife (NYSE: HLF) shares are positive on the session, something Pershing Square's Bill Ackman might not be too happy about.

One person that is happy is Herbalife CEO Michael Johnson. According to the latest SEC filings, Johnson received $10.3 million in compensation for 2012. His base salary rose 0.5 percent to $1.24 million, incentive compensation of $3.71 million, and stock options valued at $5 million. The overall pay package was down from 2012, data shows, but it was the maximum amount Johnson could receive linked to EPS and sales for the year.

Ackman is said to have sold 20 million shares short, disclosing the position at the end of 2012. It wasn't made immediately clear whether Ackman still held the position, though he's under no legal obligation to disclose that information.

On the other side of the trade is Carl Icahn, who recently disclosed holding a 15.6 percent stake in Herbalife. Whether Icahn authentically believes in Herbalife's business model or is simply going after Ackman to break his short is undetermined. What is clear is that Icahn still has two nominees being elected to Herbalife's board, per the regulatory filing.

Shares of Herbalfe are up 1.5 percent Wednesday.
