VEON management owns 1.84% of shares, continues buyback program

VEON Ltd. (NASDAQ: VEON) disclosed that its management team collectively holds 1.84% of the company's total share capital through American Depositary Shares. Chief Executive Officer Kaan Terzioglu owns slightly more than 1% of the company's shares, exceeding the disclosure threshold for insider ownership.

The digital operator has repurchased 745,420 ADSs for $39.0 million and $3 million of 2027 Notes as part of its $100 million buyback program that began November 14, 2025. Combined with earlier buybacks announced in August 2024, VEON has repurchased 2.89 million ADSs for $139.0 million total.

VEON recently established a capital allocation policy targeting the return of at least $100 million annually to shareholders through share buybacks. "VEON's strategy is firmly anchored in delivering long-term value for shareholders," said Terzioglu.

The company serves over 150 million connectivity customers and more than 205 million quarterly digital users across five markets. VEON operates in countries representing more than 6% of the world's population.
