Tokyo Lifestyle secures $1.92 million loan from controlling shareholder
Tokyo Lifestyle Co., Ltd. (NASDAQ: TKLF) announced it entered into a five-year subordinated unsecured loan agreement for JPY 300 million (approximately $1.92 million) with its controlling shareholder, Tokushin G.K., according to a company statement.
The loan agreement was signed on November 27, 2025, and Tokyo Lifestyle received the proceeds on February 1, 2026. The loan carries a fixed annual interest rate of 2.0% and will mature on January 31, 2031. Interest payments will be made monthly, with the principal repaid in a lump sum at maturity.
Tokushin G.K. is owned by Tokyo Lifestyle's Representative Director and Principal Executive Officer Mei Kanayama and his family. The company stated the funding is intended to support future growth and development initiatives.
The subordinated loan ranks below other forms of debt in claims on assets during default or bankruptcy proceedings. Tokyo Lifestyle operates as a retailer and wholesaler of Japanese beauty and health products, sundry products, luxury items, electronics, collectible cards, and trendy toys across Hong Kong, Japan, North America, Thailand, Vietnam, the United Kingdom, and Australia.
"This strategic subordinated unsecured loan agreement not only reflects the deep trust my family and I have in Tokyo Lifestyle's business model and the execution capabilities of its management team, but also represents a significant optimization of its capital structure," Kanayama said in the statement.
The company plans to expand its global footprint through new directly operated stores in Japan, Hong Kong, the U.S., Vietnam, Australia, and Canada, as well as franchise locations across multiple international markets over the next three years.
