Iconix Brand Group, Inc. (Nasdaq: ICON) has entered into a trading plan in accordance with Rule 10b5-1 under the Securities Exchange Act of 1934 to facilitate repurchase of its common stock during its blackout period. The Plan does not preclude the Company from repurchasing shares outside of its blackout period. The execution period will begin on June 11, 2012 and the Plan will expire on July 25, 2012, unless terminated earlier in accordance with its terms.
The Company does not retain or exercise any discretion over the purchases of common stock under the Plan. Because the repurchases under the Plan, if any, are subject to certain pricing parameters, there is no guarantee as to the exact number of shares that will be repurchased under the Plan, or that there will be any repurchases at all pursuant to the Plan.
