Alpha Modus CEO family commits $1.5M in strategic financing

July 15, 2025 8:33 AM EDT

Alpha Modus Holdings Inc. (NASDAQ: AMOD) announced that an affiliated family trust of Chief Executive Officer William Alessi has committed $1.5 million in financing to support the company's growth and commercialization efforts.

The capital will be provided through a one-year promissory note with the option to convert amounts owed into common stock at a fixed conversion price of $5 per share. The company stated this conversion price is above current trading levels.

"This initial financing represents a strategic vote of confidence in our vision and execution," Alessi said. "As we prepare to execute major deployments in the second half of 2025, this internal capital commitment should ensure we retain control of our cap table and avoid predatory, variable-rate, derivative-based financings."

The financing structure is designed to be non-dilutive unless voluntarily converted. Alpha Modus plans to use the funding to accelerate rollout of large-scale contracts, expand integration of its artificial intelligence intellectual property, and drive licensing revenues through patent portfolio enforcement.

Alpha Modus, based in Charlotte, North Carolina, develops AI-driven retail transformation technology. The company operates in retail media, digital signage, and smart kiosk technologies, and holds a portfolio of U.S. patents covering in-store intelligence and digital marketing systems.

The announcement follows recent licensing agreements and product rollouts by the company, according to the press release statement.
